This API License Agreement (“Agreement”) is between Best Nanotech Pvt Ltd, through its division Nanotech Academy (“Nanotech Academy,” “we,” “us,” or “our”), and you, the entity or individual accessing or using our Application Programming Interfaces (“APIs”) (“you” or “Licensee”). By accessing or using the APIs, you agree to be bound by this Agreement. If you do not agree, do not use the APIs.

1. Purpose

Nanotech Academy provides APIs to enable Licensee to integrate its applications with Nanotech Academy’s platform for purposes such as retrieving course data, managing enrollments, and enhancing learner experiences (“Purpose”). This Agreement governs your access to and use of the APIs.

2. API Access and Use

License Grant. Subject to your compliance with this Agreement, Nanotech Academy grants you a limited, non-exclusive, non-transferable, revocable, worldwide license to call and use the APIs solely for the Purpose.
API Keys. You must register for and use the API keys provided by Nanotech Academy. You are responsible for safeguarding API keys and any credentials; do not share them.
Rate Limits. API usage is subject to rate limits and quotas published in our developer portal. Nanotech Academy may adjust limits with notice.

3. Restrictions

You shall not:
a) Reverse-engineer, decompile, or disassemble any API functionality or data;
b) Use the APIs to build a competing service or marketplace;
c) Store or cache API data beyond the duration permitted in our documentation;
d) Exceed rate limits or use automation to circumvent usage controls;
e) Transfer, sublicense, or share your API keys;
f) Use the APIs to process or transmit infringing, defamatory, or unlawful content;
g) Impersonate another user or misrepresent your identity or affiliation;
h) Engage in security testing, scanning, or probing of our systems without prior written consent.

4. Intellectual Property

Owned by Nanotech Academy. Nanotech Academy and its licensors retain all rights, title, and interest in the APIs, documentation, trademarks, and all related technology and content.
No Transfer of Ownership. Except for the license rights expressly granted herein, no other rights or licenses are granted, whether by implication, estoppel, or otherwise.

5. Data and Privacy

User Data. You may retrieve User Data (e.g., course progress, enrollment records) only when authorized by end users and only for the Purpose. You must comply with our Privacy Policy and all applicable data protection laws, including the Digital Personal Data Protection Act, 2023.
Confidentiality. Any non-public data or documentation provided by Nanotech Academy is Confidential Information and must be protected under the confidentiality obligations of Section 8 of this Agreement.

6. Support and Maintenance

Nanotech Academy may provide technical support, updates, and enhancements to the APIs at its discretion. We may modify, suspend, or deprecate the APIs with at least 30 days’ notice via email or developer portal announcement.

7. Term and Termination

Term. This Agreement starts on the Effective Date and continues until terminated.
Termination for Convenience. Either party may terminate upon 30 days’ written notice.
Termination for Cause. Nanotech Academy may immediately revoke your access for breach of this Agreement or misuse of the APIs.
Effect of Termination. Upon termination, you must cease all API calls, destroy all API credentials, and delete any Confidential Information.

8. Confidentiality

You shall hold all Confidential Information in strict confidence, using at least the same degree of care as you use for your own confidential information, and not disclose it to any third party except as required by law.

9. Warranties and Disclaimers

No Warranty. APIs are provided “as is” and “as available” without warranties of any kind.
Disclaimer. Nanotech Academy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Nanotech Academy’s total liability arising out of or related to this Agreement shall not exceed ₹100,000. In no event shall Nanotech Academy be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nanotech Academy from any claims, liabilities, damages, or expenses arising from your use of the APIs in violation of this Agreement.

12. Governing Law and Dispute Resolution

This Agreement is governed by Indian law without regard to conflict of laws principles. Exclusive jurisdiction and venue for non-arbitral disputes shall lie in the courts of New Delhi, India. Any dispute may also be resolved by arbitration in New Delhi under the Arbitration and Conciliation Act, 1996.

13. Miscellaneous

Entire Agreement. This constitutes the entire agreement regarding APIs and supersedes prior understandin
Amendment. Any amendment must be in writing and signed by both parties.
Assignment. You may not assign this Agreement without Nanotech Academy’s prior written consent.
Severability. If any provision is invalid, the remainder remains in force.
Notices. All notices shall be in writing to the addresses above and are effective upon receipt.

By accessing or using the APIs, you acknowledge that you have read, understood, and agree to be bound by this API License Agreement.
